Orono Student Nurses Association - By-Laws

Article I – Name of Organization

Section 1. The name of this organization is the Orono Student Nurses’ Association, hereinafter referred to as OSNA.

 Article II – Purpose and Function

Section 1. Purpose of OSNA is

  1. To contribute to nursing education in order to develop nurses that are prepared to deliver the highest quality of health care.
  2. To provide programs for nursing students and the community at large that represent the fundamental interests and concerns of OSNA.
  3. To aid student nurses in the development of his or her professional roles in nursing.
  4. To establish a network between OSNA and other nursing students, faculty, other nursing organizations, the nursing community and the general public.

 Article III – Members

Section 1. School Constituent

  1. School constituent membership is composed of active or associate members of the NSNA and the state association when one exists.
  2. OSNA shall be composed of at least 10 members from The University of Maine School of Nursing or the total school enrollment if less than 10. There shall be only one chapter on this school’s campus.
  3. For yearly recognition as a constituent the president shall annually submit the Official Application for NSNA Constituency Status which shall include the following areas of conformity: Purpose, Functions, Membership, Dues and Representation. The president may delegate this responsibility to another elected OSNA officer.
  4. OSNA is an entity seperate and apart from NSNA and its administration of activities, with NSNA and SNAM exercising no supervision or control over immediate, daily and regular activities. NSNA and SNAM have no liability for any loss, damages, or injuries sustained by third parties as a result of the negligence or acts of OSNA or the members thereof. In the event of any legal proceeding brought against NSNA and SNAM, OSNA will indemnify and hold harmless the NSNA and SNAM from any liability.

 Section 2. Categories of Consituent Membership

            A. Active Members:

  1. Must be enrolled as a student at the University of Maine.
  2. Shall have all the privaleges of membership.

            B. Individual Members:

  1. Shall be open at the national level to any eligible student when membership in a constituent association is not available.
  2. Shall have the privileges of membership as prescribed in NSNA bylaws.
  3. Will not be able to vote on local issues.

            C. Active membership shall be renewable annually.

 Section 3. Honarary Alumni Members

Graduates of the UMaine School of Nursing may continue to pay the annual OSNA dues and therefore remain an OSNA member.

Article IV – Dues

Section 1.

  1. The member must pay $5 in Chapter Dues, payable the appropriate dues year. The dues for membership shall be for a period of two consecutive school semesters.
  2. The OSNA Board of Directors shall have the authority to change membership dues, providing such dues do not exceed the $5 amount set in these Bylaws.

 

Article V – OSNA Board of Directors

Section 1.  Composition

 

  1. The OSNA Executive Board will consist of: President, Vice President, Secretary, and Treasurer. The Board of Directors will consist of  two first year nursing students; a first and second semester Sophomore, Junior, and Senior; and the head of each of the following committees:
    1. Public Relations (this person is responsible for recruiting possible new members, updating the School of Nursing website, and keeping the bulletin boards up to date with new and current information).
    2. Fundraising (this person heads up any fundraising events- past events have been the Bangor AIDS walk, Run for the Cure, Relay for Life).
    3. Service (this person is in charge of planning events such as health fairs, blood drives, bone marrow drives, etc.).
    4. Education (this person will obtain and organize the Pulse, schedule monthly guest speakers, attend faculty meetings and student activities committee (SAC) meetings, or will appoint someone to talk on these responsibilities).
    5. There will also be an Elections Chairperson, but this person is NOT on the Board of Directors. The Election Chairperson will be in charge of spreading awareness and advertising for the upcoming election of the new officers as well as encouraging people to run for office. This person will be in charge of organizing nominations (and making sure there are at least two nominations for each Executive position), creating, distributing, collecting and tallying the ballots. NOTE: The Election Chair person may NOT run for any position on the Executive Board or the Board of Directors if they are organizing the election.
  2. The Executive Board (made up of the President, Vice President, Secretary, and Treasurer) will assume all responsibilities of the Board of Directors whenever OSNA membership is fewer than 30.

 Section 2.  Responsibilities

  1. Any business that occurs between full membership meetings should be reported at the next scheduled meeting.
  2. Filling midyear vacancies in any office should be by a two-thirds majority vote of the Executive Board, except the Office of President which will be filled first by the Vice President.
  3. Reviewing the duties of the treasurer, overseeing fundraising activities, and ensuring an audit of all accounts on an annual basis.

 Section 3.  Quorum

A quorum for Board Meetings shall include the President, Vice President, and four other Board Members.

 Section 4.  Duties of the OSNA Board of Directors

  1. The President will:
    1. Preside at all meetings of this association, appoint special committees as needed, perform all other duties pertaining to the office and represent this association or appoint a representative in all matters related to SNAM, NSNA, and other professional and student organizations.
    2. Serve as Chairperson of the Board of Directors.
    3. Serve as member ex-officio of all committees.
  2. The Vice President will:
    1. Assume responsibility of the office of President in the event of a vacancy occurring in the office until the next regular election.
    2. Preside at meetings in the absence of the President.
    3. Prepare and organize special projects and activities.
    4. Ultimately be responsible for all internal membership activities and member retention.
    5. Plan social activities for the members of OSNA.
    6. Review and approve all project directives prior to their presentation.
  3. The Secretary will:
    1. Record the minutes of OSNA and Board meetings and maintain a permanent record of them.
    2. Forward all meeting minutes to the President of SNAM.
    3. Forward names and addresses of all officers and chairpersons after an election or appointment to the President of SNAM.
    4. Maintain or oversee the OSNA Bulletin Board and calendar of upcoming events to be posted for all members.
    5. Maintain FirstClass Conference or appoint someone to do so.
    6. Maintain a permanent list of all members, past and present.
  4. The Treasurer will:
    1. Control receipts, transactions, and disbursements of all funds.
    2. Submit recommendations concerning financial policies of OSNA as needed.
    3. Sign all checks for the disbursement of funds in addition to preparing and keeping permanent records of all finances.
    4. Sign all contracts and other instruments of business incurred by OSNA.
    5. Collect all money owed to OSNA, SNAM, and NSNA.  Submit financial reports to the members at every meeting.
  5. Class Representatives will:
    1. Keep general membership up to date on issues involving their particular class.
    2. Keep their classmates up to date on the happenings of OSNA.
    3. Work closely with the officers to ensure the OSNA activities are in the best interest of their class

 Section 5.  Absences

  1. Members of the Executive Board who have missed more than one regularly scheduled meeting of any current term without prior notification to the Executive Board may be removed from office by a two-thirds vote of the current membership present at the next scheduled meeting. The Officer in question will be notified in advance of the meeting.
  2. An Officer may be removed from office by a two-thirds vote of the members of the Executive Board and members of the Board of Directors if he or she fails to fulfill the responsibilities of his/her position.
  3. Prior notification of two weeks shall be given to the individual in question and a special Executive Board meeting shall be held to review the circumstances

 Article VI-Elections

Section 1. Election of the Board of Directors

  1. Nominations for any officer shall be presented at the last meeting of February.
  2. Candidates may be self-nominated or nominated by another OSNA member up until the meeting prior to Election Day.
  3. Candidates will have an opportunity to speak and answer any questions at both the nomination meeting and the election meeting.
  4. Elections shall be held at the last regularly scheduled meeting prior to the NSNA Annual Convention.
  5. All voting shall be done by secret ballot or absentee ballot.
  6. Voting shall be determined by quorum, which shall consist of a majority of the votes cast
  7. In the event of a tie, a re-vote shall be held between those nominees that tied.
  8. In the event of a dead-lock, the Executive Board, excluding the President, shall be the deciding vote.

 Article VII-Meetings

Section 1.  Membership Meetings

  1. Meetings, dates, locations and times shall be set during the first two weeks of each semester.
  2. The Board of Directors shall be responsible for setting meeting dates and times and announcing them to the general membership.
  3. The President reserves the right to change meeting times, cancel a meeting, or a call a meeting with 24 hours notice.

 Article VIII-Committees

Section 1. Appointments

  1. Committee chair nominations shall be made by the membership.
  2. The committee members shall consist of a group of volunteers.
  3. All committee heads are responsible for reporting committee activities to the membership every meeting.
  4. The Nominations and Elections Committee (NEC) shall be responsible for encouraging members to run for office, distributing ballots, advertising the election, and running elections.

 Article IX – Delegates

Section 1.  Purpose and Function

  1. Serve as the OSNA spokesperson at the annual NSNA conventions.
  2. Present to SNAM and NSNA all resolutions, amendments to bylaws, and policies proposed by this association.
  3. Report all information reguarding current and proposed resolutions from the state and national levels to this association’s membership at a regularly scheduled meeting.

 Section 2.  Qualification and Appointment

  1. Any member of OSNA is eligible to hold the position of delegate if the following requirements are met:
  2. Member attends the majority of OSNA meetings and functions.
  3. Member is appointed by the Executive Board of OSNA and announced at a regularly scheduled meeting.

 Section 3.  Delegate Representation

      A. School Constituents:

  1. OSNA, when recognized as an official NSNA constituent, shall be entitled to one voting delegate and alternate at the NSNA House of Delegates. In addition, OSNA shall be entitled to one voting delegate and alternate for every 50 members.
  2. The OSNA delegate(s) and alternate shall be a member(s) in good standing in the chapter and appointed by the Executive Board of OSNA.  The school association may designate an alternate delegate by one of the following two mechanisms:

    a. Appointment by members of the Executive Board; or
    b. Written authorization to the SNAM Executive Board requesting them to appoint a member of the SNAM Board of Directors to act as a state appointed alternate for this school chapter.

I.    The OSNA Executive Board shall approve the appointment.

II.    The State Executive Board shall verify that any state appointed alternate is a member in good standing of the NSNA and SNAM.

III.    A school chapter must have an appointed delegate present at the NSNA Convention in order to have a state appointed alternate seated in the House of Delegates.

IV.    All alternates, whether school or state appointed, shall have the same privileges as an elected delegate when seated in the House.

3.  Delegates shall be computed based on the number of OSNA members as evidenced by the annual dues received by NSNA eight weeks prior to the annual convention.

 Article X – Amendments

Section 1.  Procedure

A. Notice of proposed amendments will be sent to the Executive Board at least two weeks prior to a scheduled meeting. Proposed amendments will then be made available to general members following Executive Board review. Amendments to Bylaws must be made with a two-thirds vote of those present at a scheduled meeting.
B. Only proper amendments submitted in writing and carrying the proponent’s signature will be considered.
